Terms of Service

The agreement between you and HMS FULHAM LTD for the use of Viewreel. It covers your account, what the subscription buys, what credits are and are not, who owns what, and what happens when something goes wrong.

This agreement

Using the service means accepting these terms. If you are accepting on behalf of a company, you are saying you are allowed to.

These Terms of Service are a binding agreement between you and HMS FULHAM LTD, a company registered in England and Wales with its registered office at 132 Dollis Hill Lane, London, England, NW2 6HY ("we", "us", "our"), governing your use of Viewreel at hmsfulhamproperty.com (the "Service").

By creating an account, or by using the Service, you accept these Terms. If you do not accept them, do not use the Service.

If you are entering into these Terms on behalf of a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.

The Privacy Policy, Cookie Policy, Acceptable Use Policy, AI Disclaimer, Content Licence and Refund Policy form part of these Terms. Where the Acceptable Use Policy or AI Disclaimer conflicts with this document on the subject it covers, that document prevails.

Your account and your age

You must be 18 or over. One person per account, a real email address, and you are responsible for what happens under your login.

You must be at least 18 years old to create an account. The Service is not offered to children.

You must give accurate registration information and keep it current. You are responsible for keeping your password confidential and for all activity that takes place under your account.

Tell us immediately if you believe your account has been accessed without your authorisation.

You may not share, sell, rent or transfer your account, and you may not create an account on behalf of someone else without their authority.

We may suspend or close an account that breaches these Terms or the Acceptable Use Policy, that is used to attack or degrade the Service, or where we are required to by law. Where the circumstances allow it, we will tell you why and give you a chance to put it right.

What the Service does, and what it is not

It turns photographs you supply into video. It is not a property portal, a letting agent, a referencing service or a payment service for rent.

The Service takes photographs you upload, helps you set the order in which rooms are walked, produces start and end frames for each room, renders a continuous walkthrough, and lets you draw your own text over the result and export it.

The Service does not advertise or list property, does not match tenants to properties, does not carry out referencing, credit checks or right-to-rent checks, does not draft or hold tenancy agreements, and does not collect or hold rent, deposits or any other money on behalf of anyone.

We are not a party to any tenancy, sale or other transaction relating to a property you make a walkthrough of, and we have no involvement in it.

You are solely responsible for what you publish, where you publish it, and for complying with the rules of any platform, portal or regulator that applies to your advertising.

Subscriptions, prices and automatic renewal

Paid plans renew by themselves at the same price and interval until you cancel. Everything is charged in USD. You can cancel in one step at any time.

The Service is offered on a free plan and on paid subscription plans. Current plans, prices and allowances are shown on the pricing page and are quoted in USD. Any tax that applies is shown before you confirm payment.

Paid plans renew automatically at the end of each billing period — monthly for a monthly plan, every 12 months for a yearly plan — at the price then shown for your plan, and they continue to renew until cancelled. The renewal date is shown to you before you pay and again in the workspace.

You authorise us, through our payment provider, to charge your chosen payment method on each renewal date.

You may cancel at any time from Manage subscription inside the workspace. Cancellation is a single control; you do not need to email us, telephone us or explain yourself. Cancelling stops the next charge. Your plan continues to work until the end of the period you have already paid for, after which the account moves to the free plan.

We may change prices. A price change never applies to a period you have already paid for, and we will give you at least 30 days' notice by email before it applies to a renewal, so that you can cancel first.

If a payment fails we may retry it and may suspend paid features until it succeeds. We will tell you before any suspension.

Credits are a usage allowance, not money

Credits are issued with your plan, are only accepted here, expire at the end of each period, and cannot be bought separately, cashed out or given away. They are not a balance and they are not a currency.

Each plan includes an allowance of credits for the billing period. Credits meter how much of the Service you have used: planning requests, photograph recognition, frame generation and renders each consume a stated number of them.

Credits are not money, not electronic money, not a stored-value or prepaid product, not a deposit and not a security. They have no cash value. They are issued by us, accepted only by us, and can be used only within the Service.

Credits cannot be redeemed, refunded as cash, withdrawn, sold, transferred, gifted, or moved between accounts, and they cannot be inherited or assigned.

There are no credit packs, no top-ups and no way to buy credits separately from a subscription, on any plan.

Credits do not carry over. Any allowance unused at the end of a billing period expires at that point and a fresh allowance is issued for the new period. If your allowance is not enough for the way you work, move to a higher plan.

If your subscription ends, unused credits from the paid plan end with it.

We may change the credit cost of an action to reflect what it costs us to run. We will give at least 30 days' notice by email before any increase takes effect.

Your content stays yours

You keep ownership of your photographs and your renders. You give us only the permission we need to run the Service for you, and nothing more.

You retain all ownership of the photographs you upload, the text you write and the renders produced from them. We claim no ownership of any of it.

You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, reformat and process your content strictly for the purpose of operating the Service and providing the output you asked for. The licence lasts only as long as we hold the content and ends when the content is deleted.

We do not use your content to train or improve any model, and we do not use it in marketing without your separate, specific and written permission.

You warrant that you own or have permission to use every photograph you upload, and that you are entitled to have the property in question depicted and advertised. Full detail is in the Content Licence.

Our intellectual property

The software, the interface and the brand are ours. Using the Service does not transfer any of it to you.

The Service, including its software, interface, design, drawings, documentation and the Viewreel name and marks, is owned by us or our licensors and is protected by intellectual property law.

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms for the duration of your subscription.

You may not copy, modify, reverse engineer, decompile, resell, sublicense or create derivative works from the Service, nor use automated means to scrape or extract it, nor remove any notice from it.

If you send us suggestions, we may use them freely and without obligation to you.

Generated output

A walkthrough is generated media. It is not a measurement, a survey or a statement of a property's condition, and the person who publishes it is responsible for checking it against the property.

Renders are produced by machine learning models and can contain errors, artefacts and distortions. Output is provided on an as-is basis with no warranty that it is accurate, complete or fit for any particular use.

A walkthrough is not a measurement, a survey, a valuation, an inspection, an energy assessment or a statement of the condition, legal status or compliance of any property. That statement is composited into every export and must not be removed.

Areas, aspects, floor levels and every other stated fact are entered by you. We do not calculate, estimate or verify any of them and we do not read them from a photograph.

You are responsible for reviewing every room against the photographs it came from before you publish, and the Service requires you to do so before it will export.

The AI Disclaimer sets this out in full and applies in addition to this section.

Acceptable use

Do not use it to break the law, to misrepresent a property, or to discriminate against anyone looking for somewhere to live.

You must use the Service in accordance with the Acceptable Use Policy, which forms part of these Terms.

In particular you must not upload photographs of a property you have no right to depict or advertise, must not use output in an advertisement that misrepresents a property, must not attempt to produce a depiction of a space that differs from the property as photographed, and must not use the Service for any discriminatory purpose in housing.

Breach of the Acceptable Use Policy is a material breach of these Terms and may result in immediate suspension or closure of your account without refund.

Availability and changes

We aim to keep it up but we do not promise a service level. We may change features, and we will warn you before removing anything important.

The Service is provided on a reasonable-efforts basis. We do not commit to a specific uptime level and it may be unavailable during maintenance, or because of failures in infrastructure we do not control.

We may add, change or remove features. Where we withdraw a feature that a paid plan materially depends on, we will give at least 30 days' notice by email, and if the change substantially reduces what you are paying for you may cancel and receive a pro rata refund of the unused part of the current period.

We may impose reasonable technical limits on file sizes, upload counts, queue positions and request rates to keep the Service running for everyone.

Warranties and disclaimers

To the extent the law allows, the Service is provided as it is. Nothing here removes rights you have as a consumer that cannot be removed.

Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Service is provided "as is" and "as available" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that output will meet your requirements.

Nothing in these Terms excludes or limits any right you have as a consumer under the mandatory law of your country of residence, and nothing excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Limitation of liability

We are not liable for indirect losses, and our total liability is capped at what you paid us in the previous twelve months. Consumer rights that cannot be limited are untouched.

To the fullest extent permitted by law, we are not liable for loss of profit, loss of business, loss of anticipated savings, loss of goodwill, loss of data, or any indirect or consequential loss, however arising.

We are not liable for any loss arising from a decision you or anyone else made on the basis of a generated walkthrough, or from your publication of one.

Our total aggregate liability arising out of or in connection with these Terms is limited to the greater of the total amount you paid us in the twelve months before the event giving rise to the claim, and USD 100.

These limits do not apply to liability that cannot lawfully be limited, and do not affect mandatory consumer-protection rules in your country of residence.

Your indemnity

If someone sues us because of what you uploaded or published, you cover it.

You agree to indemnify us against claims, damages, losses and reasonable costs arising from your content, your use of output, your breach of these Terms or the Acceptable Use Policy, or your infringement of anyone else's rights.

We will tell you promptly of any claim, will not settle it without your consent where your indemnity is engaged, and will give you reasonable cooperation in defending it.

Ending the agreement

Close your account whenever you like. We can close it for breach. Your files are deleted on the schedule in the Privacy Policy.

You may close your account at any time from the workspace. Closing an account cancels any subscription; the paid plan runs to the end of the period already paid for unless you ask us to end it immediately.

We may suspend or close your account immediately for a material breach of these Terms or the Acceptable Use Policy, for non-payment, or where required by law.

On closure your access ends and your content is deleted in accordance with the retention periods in the Privacy Policy. Export anything you want to keep before you close the account.

Sections that by their nature should survive termination — ownership, liability, indemnity, governing law — survive it.

Changes to these Terms

We give 30 days' notice of material changes, and you can leave rather than accept them.

We may amend these Terms. The effective date of the current version is shown at the top of this page.

We will give account holders at least 30 days' notice by email of any change that materially affects your rights or obligations. If you do not accept the change, you may cancel before it takes effect and we will refund the unused part of any period you have paid for.

Continuing to use the Service after the effective date means you accept the amended Terms.

Governing law and jurisdiction

The law of England and Wales governs this agreement, and the courts there have non-exclusive jurisdiction — which means you keep the right to go to the courts where you live and to rely on your own country's consumer rules.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the law of England and Wales.

The courts of England and Wales have non-exclusive jurisdiction. Nothing in this clause affects your right, as a consumer, to bring proceedings in the courts of the country where you are resident, or to rely on mandatory consumer-protection rules of that country.

If something goes wrong, contact us first at support@hmsfulhamproperty.com. If we cannot resolve it, free consumer advice is available in your country of residence. Wherever you live, the mandatory consumer-protection rules of your country of residence continue to apply to you.

General

The usual closing clauses: the whole agreement, no waiver by inaction, severability, no assignment by you.

These Terms, with the documents they incorporate, are the entire agreement between us about the Service and replace any earlier understanding.

If we do not enforce a right immediately, we do not lose it.

If any provision is held unenforceable, the rest continues in force and the unenforceable provision is applied to the maximum extent permitted.

You may not assign or transfer these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition or sale of assets, on notice to you.

Nobody other than you and us has any right to enforce these Terms.
